Welcome to SparkFlow. These Terms and Conditions ("Terms") govern your access to and use of SparkFlow, including our website, software platform, dashboard, subscriptions, AI-generated content tools, marketing workflows, design generation tools, video generation tools, reporting, scheduling, publishing features, support services, and related services (collectively, the "Platform" or "Service").
By creating an account, subscribing, accessing, browsing, using, approving content, downloading content, publishing content, or otherwise using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
If you use the Platform on behalf of a company, organization, client, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "User", "you", and "your" refer to that entity and its authorized users.

1. Definitions
"Account" means a registered user account on the Platform.
"AI Systems" means artificial intelligence models, machine learning systems, automation workflows, prompt systems, design rules, generation engines, content engines, QA engines, and related technologies used by SparkFlow.
"Authorized User" means any person authorized by you to access or use your Account, subscription, workspace, brand profile, content plan, or client workspace.
"Customer Content" means content, files, data, brand assets, logos, images, videos, audio, text, prompts, briefs, instructions, account credentials, comments, approvals, and other materials uploaded, submitted, connected, or provided by you or your Authorized Users.
"Generated Content" means content, designs, captions, copy, images, videos, reports, schedules, recommendations, outputs, drafts, layouts, templates, or other materials generated, assembled, modified, or suggested through the Platform.
"Final Content" means Generated Content that you download, approve, export, schedule, publish, or otherwise use outside the Platform.
"Subscription" means a paid plan, package, add-on, usage bundle, enterprise arrangement, or other commercial access to the Platform.
"Third-Party Services" means external platforms, APIs, models, payment processors, cloud providers, social media networks, analytics providers, stock asset providers, advertising platforms, publishing channels, and other third-party tools integrated with or used by SparkFlow.
2. Eligibility and Authority
You must be legally capable of entering into binding agreements under applicable law. If you are using the Platform for business purposes, you confirm that you are authorized to represent and bind the relevant business, brand, client, or organization.
You must ensure that all Authorized Users comply with these Terms. You are responsible for all actions, omissions, content, approvals, instructions, usage, charges, and publications made through your Account, whether authorized by you or not, except where caused solely by SparkFlow's proven breach of these Terms.
- You must provide accurate, complete, and up-to-date account and billing information.
- You must not impersonate another person or entity.
- You must not create accounts to bypass limits, suspensions, payment obligations, or security controls.
3. Nature of the Service
SparkFlow provides AI-powered and automation-enabled marketing production capabilities. These may include content planning, copy generation, creative direction, design generation, video generation, image generation, creative QA, reporting, scheduling, publishing support, brand asset management, and related marketing workflows.
SparkFlow is a technology platform. Unless expressly agreed in a separate signed agreement, SparkFlow does not act as a marketing agency, advertising agency, legal advisor, financial advisor, tax advisor, regulatory advisor, media buyer, public relations advisor, or professional compliance reviewer.
You acknowledge that the Platform may generate drafts, suggestions, predictions, analyses, recommendations, and creative outputs. These are not a substitute for human review, professional judgment, brand approval, legal review, regulatory review, or platform-policy review.
4. Account Registration and Security
You are responsible for maintaining the confidentiality and security of your login credentials, devices, connected accounts, workspace access, and any authentication methods used with the Platform.
You must notify SparkFlow promptly if you suspect unauthorized access, credential compromise, misuse, or any security issue affecting your Account or connected platforms.
SparkFlow may suspend or restrict access if we reasonably believe that an Account has been compromised, used unlawfully, used in breach of these Terms, or used in a way that may create risk to SparkFlow, other users, Third-Party Services, or the public.
- You remain responsible for all activity under your Account.
- You must manage Authorized User permissions carefully.
- You must remove access for employees, contractors, agencies, or clients who no longer require access.
5. Subscriptions, Fees, Billing, and Taxes
Certain features, usage volumes, content formats, add-ons, human-review layers, integrations, and publishing capabilities may require a paid Subscription. By subscribing, purchasing, renewing, upgrading, or using paid features, you agree to pay all applicable fees, charges, taxes, and usage-based amounts.
Unless otherwise stated in writing, fees are billed in advance, are payable in the currency stated at checkout or in the applicable invoice, and are non-refundable to the maximum extent permitted by law.
Where recurring billing applies, you authorize SparkFlow and its payment processors to charge your selected payment method on a recurring basis until the Subscription is cancelled in accordance with these Terms or the applicable order terms.
You are responsible for any applicable taxes, duties, levies, bank charges, card charges, exchange-rate differences, payment processor fees, and withholding obligations, except taxes based on SparkFlow's net income.
- SparkFlow may suspend or downgrade access for overdue, failed, disputed, reversed, or fraudulent payments.
- Plan limits, usage caps, fair-usage thresholds, add-on pricing, and package inclusions may vary by plan and may be updated from time to time.
- Promotional pricing, discounts, pilots, beta access, or introductory offers may be changed, discontinued, or limited at SparkFlow's discretion unless otherwise agreed in writing.
6. Subscription Changes, Cancellation, and Refunds
You may cancel your Subscription through the Platform, by contacting support, or through any other cancellation method made available by SparkFlow. Cancellation generally stops future renewal charges but does not automatically entitle you to a refund for the current billing period unless required by law or expressly stated in writing.
If you upgrade a Subscription, SparkFlow may charge prorated fees, immediate upgrade charges, or the full new plan amount depending on the billing configuration. If you downgrade, the downgrade may take effect at the next renewal cycle unless SparkFlow states otherwise.
Unused credits, content allocations, generation allowances, review quotas, deliverables, add-ons, or usage bundles may expire at the end of the applicable billing cycle, package period, campaign period, or Subscription term unless expressly stated otherwise.
- No refund is owed for dissatisfaction with Generated Content where the Platform performed materially as described and you had the opportunity to review outputs.
- No refund is owed for user error, failure to provide required assets, failure to approve content, late feedback, breach of these Terms, or Third-Party Service restrictions.
- SparkFlow may issue credits, refunds, extensions, or goodwill adjustments at its discretion without creating any obligation to do so in future cases.
A refund may be considered, in whole or in part, in the following circumstances:
- SparkFlow charged you incorrectly due to a billing error, duplicate transaction, or unauthorized renewal, subject to verification by SparkFlow.
- The Service was unavailable for a prolonged period due solely to a material failure of SparkFlow's systems and SparkFlow was unable to restore the affected functionality within a reasonable timeframe.
- SparkFlow permanently discontinues a paid Service or Subscription before the end of the applicable billing period and does not provide a reasonably equivalent alternative.
- Applicable law requires a refund, cancellation right, cooling-off period, or other consumer remedy that cannot be waived under these Terms.
- Any other circumstance where SparkFlow expressly agrees in writing that a refund is appropriate.
Any approved refund may be issued as a partial refund, full refund, account credit, service extension, or other remedy determined by SparkFlow in its sole discretion.
7. Customer Content and User Responsibilities
You retain ownership of Customer Content. You are solely responsible for Customer Content, including its accuracy, legality, rights clearance, permissions, licenses, quality, suitability, and compliance with applicable laws, regulations, industry rules, brand rules, and platform policies.
You represent and warrant that you have all rights, licenses, permissions, consents, releases, and authority required to upload, store, process, use, modify, generate from, publish, distribute, and otherwise exploit Customer Content through the Platform.
You grant SparkFlow a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, copy, process, reproduce, format, modify, adapt, translate, analyze, generate, display, transmit, publish, distribute, troubleshoot, secure, support, and otherwise use Customer Content as necessary or useful to provide, maintain, protect, improve, and develop the Platform and related services.
- You must not upload or use content that infringes intellectual property, privacy, publicity, confidentiality, contractual, employment, data-protection, consumer-protection, advertising, or other rights.
- You must not upload illegal, harmful, malicious, deceptive, defamatory, discriminatory, obscene, exploitative, or platform-prohibited content.
- You must not upload personal data unless you have a valid lawful basis, required notices, required consents where applicable, and authority to process it through the Platform.
8. Generated Content, Final Content, and Ownership
Subject to your compliance with these Terms and full payment of applicable fees, SparkFlow assigns to you any rights that SparkFlow may own in Final Content generated specifically for you through the Platform, excluding SparkFlow IP, Third-Party Materials, underlying templates, source systems, prompts, workflows, models, software, know-how, methods, analytics, and platform technology.
You acknowledge that AI-generated outputs may not be unique. Similar or identical outputs may be generated for other users, especially where similar prompts, templates, industries, brand inputs, or public information are used. SparkFlow does not guarantee exclusivity, originality, copyrightability, registrability, trademark clearance, or non-infringement of Generated Content.
You are solely responsible for reviewing, approving, editing, verifying, clearing, and deciding whether to use any Generated Content or Final Content. Approval, download, export, scheduling, or publication by you or your Authorized Users is deemed your acceptance of that content for use.
- SparkFlow may retain internal records, logs, previews, versions, metadata, renders, and workflow history for operational, support, compliance, audit, fraud-prevention, billing, security, and service-improvement purposes.
- SparkFlow will not knowingly claim ownership of your brand assets, logos, uploaded photos, uploaded videos, uploaded files, or other Customer Content solely because you upload them to the Platform.
- SparkFlow may use aggregated, anonymized, or de-identified data and operational learnings to improve the Platform, provided such data does not reasonably identify you as the source.
9. AI Output Disclaimer and Human Review Requirement
Generated Content may contain errors, omissions, inaccuracies, fictional information, outdated information, biased assumptions, formatting defects, language issues, design defects, unintended similarities, policy risks, or legal/commercial risks. SparkFlow does not guarantee that Generated Content is accurate, complete, original, lawful, non-infringing, suitable, effective, compliant, or appropriate for your intended use.
You must review all Generated Content before relying on it, publishing it, distributing it, sending it to clients, using it in advertisements, using it for regulated industries, or using it in any commercial decision. This includes verifying claims, facts, prices, offers, dates, names, product details, disclaimers, licenses, and legal requirements.
Where content relates to regulated industries, financial products, medical claims, health claims, legal claims, employment matters, real estate claims, consumer promotions, public-sector communications, political matters, children, or other sensitive areas, you must obtain appropriate professional review before use.
10. Marketing, Advertising, and Performance Disclaimer
SparkFlow may support content production, campaign planning, design, reporting, scheduling, or publishing. SparkFlow does not guarantee any marketing result, advertising result, engagement level, follower growth, reach, impressions, leads, conversions, sales, revenue, cost savings, brand awareness, search ranking, customer acquisition, return on ad spend, or other commercial outcome.
Any examples, projections, benchmarks, case studies, estimates, cost-comparison claims, or performance references provided by SparkFlow are illustrative only and do not guarantee future results. Actual results depend on factors outside SparkFlow's control, including market conditions, offer quality, brand strength, media spend, competition, audience behavior, platform algorithms, user approvals, product-market fit, and execution quality.
11. Publishing, Scheduling, and Platform Policy Compliance
Where SparkFlow provides scheduling, publishing, export, social media integration, content calendar, or posting features, you remain solely responsible for the content that is approved, scheduled, published, boosted, advertised, distributed, or otherwise used.
SparkFlow is not responsible for social media platform rejections, account restrictions, demonetization, ad disapprovals, reduced reach, algorithmic treatment, suspension, takedown, moderation, policy changes, publishing failures, delayed posts, broken integrations, or loss of access caused by Third-Party Services, user credentials, user instructions, platform policies, or content decisions.
You must ensure that Final Content complies with all applicable advertising laws, consumer-protection requirements, influencer disclosure rules, platform policies, promotional rules, industry rules, intellectual-property laws, and brand/legal approvals.
12. SparkFlow Intellectual Property
SparkFlow and its licensors retain all right, title, and interest in and to the Platform, including software, code, APIs, interfaces, architecture, workflows, prompt systems, QA systems, design systems, templates, layouts, databases, automation logic, brand frameworks, AI configurations, documentation, trademarks, service marks, trade names, logos, trade secrets, know-how, business methods, and other intellectual property ("SparkFlow IP").
Except for the limited access rights expressly granted to you under these Terms, no rights in SparkFlow IP are transferred, assigned, licensed, or granted to you. You must not copy, reproduce, modify, reverse engineer, decompile, disassemble, scrape, extract, resell, sublicense, commercialize, benchmark, or create derivative works from SparkFlow IP except as expressly permitted in writing.
- You may not remove, obscure, or alter proprietary notices.
- You may not use SparkFlow trademarks without prior written approval.
- You may not use SparkFlow outputs, templates, systems, or workflows to build a competing product or service.
13. Templates, Stock Assets, and Third-Party Materials
Generated Content may include or be based on templates, design systems, fonts, stock assets, media files, public information, user-provided materials, or Third-Party Materials. Your right to use such materials may be subject to separate licenses, restrictions, attribution requirements, usage limits, or platform rules.
SparkFlow does not guarantee that any Third-Party Materials are suitable for every use case, territory, industry, advertisement, product claim, or media channel. You are responsible for ensuring that your intended use of Third-Party Materials is permitted.
14. Privacy, Data Protection, and Personal Data
Your use of the Platform may involve processing personal data. SparkFlow's processing of personal data is governed by our Privacy Policy and any applicable data processing terms, which are incorporated into these Terms by reference where applicable.
You are responsible for ensuring that any personal data you upload, connect, process, or instruct SparkFlow to use has been collected and provided lawfully. You must provide all required notices, obtain all required consents where applicable, maintain all required lawful bases, and comply with applicable data protection laws.
You must not upload sensitive personal data, children's data, health data, financial identifiers, government identifiers, biometric data, confidential personnel data, or other high-risk personal data unless expressly permitted by SparkFlow in writing and supported by appropriate legal, technical, and organizational safeguards.
- SparkFlow may use subprocessors, cloud providers, AI providers, analytics providers, support tools, and other Third-Party Services to operate the Platform.
- SparkFlow may process operational data, logs, metadata, usage information, support communications, billing records, and security data for legitimate operational purposes.
- You must not use the Platform to unlawfully scrape, enrich, profile, target, or process personal data.
15. Confidentiality
Each party may receive confidential or proprietary information from the other party. Confidential information includes non-public business, technical, financial, operational, client, pricing, marketing, product, security, and strategic information, as well as non-public Customer Content and non-public SparkFlow IP.
Each party must use reasonable care to protect the other party's confidential information and must use it only for purposes connected with the Platform or the applicable business relationship. These obligations do not apply to information that is publicly available without breach, independently developed, lawfully received from a third party, or required to be disclosed by law.
16. Acceptable Use and Restrictions
You must use the Platform lawfully, responsibly, and in accordance with these Terms, applicable laws, and applicable Third-Party Service policies. SparkFlow may investigate and restrict use that appears abusive, unlawful, excessive, harmful, or inconsistent with normal platform usage.
- You must not use the Platform for illegal, fraudulent, deceptive, harmful, abusive, harassing, defamatory, discriminatory, exploitative, hateful, violent, extremist, sexually exploitative, or infringing purposes.
- You must not generate, upload, publish, or distribute content that violates applicable laws, platform policies, or third-party rights.
- You must not attempt to bypass usage limits, security controls, access controls, content filters, account restrictions, payment obligations, or fair-usage rules.
- You must not reverse engineer, scrape, crawl, harvest, extract, copy, clone, benchmark, or train competing systems using the Platform, outputs, prompts, workflows, templates, or user interface.
- You must not interfere with, overload, damage, test, scan, exploit, or compromise the Platform, its infrastructure, or any Third-Party Service.
- You must not resell, sublicense, lease, rent, white-label, outsource access to, or commercially exploit the Platform except under a separate written reseller, agency, or enterprise agreement.
- You must not use the Platform to generate spam, phishing, malware, impersonation, misleading endorsements, fake engagement, unlawful political persuasion, or deceptive advertising.
17. Fair Usage, Limits, and Abuse Controls
SparkFlow may apply technical, commercial, and operational limits to usage, including limits on generations, renders, exports, storage, users, brands, workspaces, campaigns, revisions, human reviews, API calls, scheduling volume, publishing volume, file sizes, support levels, and processing time.
Fair-usage limits are designed to protect platform stability, cost control, quality, and equitable access. SparkFlow may throttle, queue, reject, pause, downgrade, charge for, or require plan upgrades for usage that is excessive, abusive, automated, unusually costly, or materially outside normal usage for the applicable plan.
Plan descriptions are commercial summaries and may not list every technical or operational limit. SparkFlow may update limits where reasonably necessary for platform security, quality, cost management, or product development.
18. Beta, Experimental, and AI Features
Some features may be labeled or treated as beta, preview, experimental, pilot, early access, limited release, or AI-assisted features. Such features may be incomplete, inaccurate, unstable, rate-limited, discontinued, changed, or removed at any time.
Beta and experimental features are provided as-is and may be subject to additional disclaimers, restrictions, or eligibility requirements. SparkFlow is not liable for loss, disruption, content defects, or reliance arising from beta or experimental features to the maximum extent permitted by law.
19. Third-Party Services and Integrations
The Platform may rely on or integrate with Third-Party Services, including AI model providers, image and video generation providers, cloud infrastructure, payment processors, social media platforms, analytics tools, stock libraries, email tools, messaging platforms, and publishing channels.
SparkFlow does not control Third-Party Services and is not responsible for their availability, performance, security, data practices, pricing, policies, outputs, downtime, errors, restrictions, or actions. Your use of Third-Party Services may be subject to their own terms, policies, and fees.
SparkFlow may add, remove, replace, suspend, or modify integrations where necessary for technical, commercial, compliance, supplier, security, or product reasons.
20. Service Availability, Maintenance, and Changes
SparkFlow aims to provide a reliable Service, but the Platform is provided on an as-available basis unless a separate written service-level agreement expressly states otherwise. SparkFlow does not guarantee uninterrupted, error-free, secure, or delay-free operation.
SparkFlow may perform maintenance, updates, security patches, upgrades, infrastructure changes, feature changes, model changes, workflow changes, and product improvements. These may temporarily affect access, processing speed, output style, feature behavior, or availability.
SparkFlow may modify, improve, replace, suspend, restrict, discontinue, or remove features, plans, templates, integrations, AI models, workflows, or content formats. Where a material change materially reduces a paid core feature, SparkFlow will use reasonable efforts to provide notice where commercially practical.
21. Support, Human Review, and Managed Services
SparkFlow may provide support, onboarding, account management, human review, creative review, content assistance, or managed-service elements depending on the plan or separate agreement. Unless expressly stated in writing, these services are advisory, operational, and quality-support services only and do not transfer legal, commercial, publishing, or compliance responsibility from you to SparkFlow.
Any turnaround times, review cycles, response times, or delivery expectations are estimates unless expressly agreed as binding in a signed document. Delays caused by missing assets, incomplete briefs, late feedback, user changes, third-party downtime, approval delays, or payment issues are not SparkFlow's responsibility.
22. User Feedback and Product Improvement
If you provide ideas, suggestions, feedback, corrections, comments, feature requests, or improvement recommendations, you grant SparkFlow a perpetual, worldwide, irrevocable, royalty-free license to use, reproduce, modify, publish, commercialize, and incorporate them into the Platform or related products without compensation or obligation to you.
This does not give SparkFlow ownership of your Customer Content, brand assets, or confidential business information.
23. Portfolio, Case Studies, and Publicity
Unless otherwise agreed, SparkFlow may identify you as a customer using your name and logo in customer lists, pitch decks, proposals, websites, and marketing materials, provided such use is accurate and does not imply endorsement beyond your status as a customer.
SparkFlow will not publish a detailed case study using your confidential performance data or non-public Customer Content without your approval. SparkFlow may reference public content, publicly available posts, public campaign materials, and publicly visible outputs where such use is lawful and commercially reasonable.
You may opt out of logo/name use by providing written notice to SparkFlow, after which SparkFlow will use reasonable efforts to remove such references from future public-facing materials.
24. Suspension and Termination by SparkFlow
SparkFlow may suspend, restrict, or terminate access to all or part of the Platform immediately if we reasonably believe that you or an Authorized User have breached these Terms, failed to pay fees, created legal or security risk, abused the Platform, violated third-party rights, violated Third-Party Service policies, or used the Platform in a way that may harm SparkFlow, other users, third parties, or the public.
SparkFlow may also suspend or restrict specific features, integrations, publishing permissions, accounts, content, or outputs where required by law, court order, regulator instruction, payment processor action, platform policy, supplier restriction, security incident, or reasonable risk-control measure.
- Suspension does not release you from payment obligations incurred before suspension.
- SparkFlow may delete, preserve, export, or restrict Account data in accordance with its retention policies, legal obligations, and operational needs.
- SparkFlow is not liable for loss caused by good-faith suspension or termination under this clause.
25. Termination by User
You may stop using the Platform or cancel your Subscription in accordance with the cancellation process made available by SparkFlow. Termination or cancellation does not entitle you to a refund except as required by law or expressly stated in writing.
After termination, your right to access and use the Platform ends. SparkFlow may retain data as required or permitted for billing, audit, security, legal, dispute-resolution, compliance, backup, and operational purposes.
26. Disclaimers
To the maximum extent permitted by law, the Platform and all Generated Content are provided on an "as is" and "as available" basis. SparkFlow disclaims all warranties, representations, guarantees, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, security, uninterrupted operation, and error-free performance.
SparkFlow does not warrant that the Platform will meet your requirements, that outputs will be accepted by any person or platform, that Generated Content will be lawful for your intended use, or that defects will be corrected within any specific timeframe.
27. Limitation of Liability
To the maximum extent permitted by law, SparkFlow, its affiliates, officers, directors, employees, contractors, suppliers, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, enhanced, or similar damages, including loss of profits, loss of revenue, loss of business, loss of goodwill, loss of reputation, loss of data, loss of content, business interruption, advertising losses, platform penalties, account suspension, wasted spend, cost of replacement services, or loss arising from publication or reliance on Generated Content.
To the maximum extent permitted by law, SparkFlow's total aggregate liability for all claims arising out of or relating to the Platform, these Terms, any Subscription, or any Generated Content shall not exceed the fees actually paid by you to SparkFlow for the Service giving rise to the claim during the three (3) months immediately preceding the event giving rise to liability.
The limitations in this clause apply whether the claim is based on contract, tort, negligence, strict liability, statute, warranty, misrepresentation, restitution, or any other legal theory, even if SparkFlow has been advised of the possibility of such damages.
28. Indemnification
You agree to defend, indemnify, and hold harmless SparkFlow, its affiliates, officers, directors, employees, contractors, suppliers, licensors, and service providers from and against any claims, demands, proceedings, damages, losses, liabilities, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- Your Customer Content, Final Content, publications, campaigns, advertisements, approvals, instructions, or use of Generated Content.
- Your breach of these Terms or applicable laws.
- Your infringement or alleged infringement of intellectual property, privacy, publicity, confidentiality, data-protection, consumer-protection, advertising, employment, contractual, or other rights.
- Your use of Third-Party Services or connected accounts.
- Your products, services, claims, offers, promotions, pricing, warranties, representations, or customer communications.
- Your Authorized Users, clients, contractors, agencies, employees, or representatives.
29. Compliance With Laws and Export Controls
You must comply with all applicable laws and regulations relating to your use of the Platform, including laws relating to advertising, consumer protection, intellectual property, privacy, data protection, e-commerce, electronic communications, sanctions, anti-bribery, competition, regulated industries, and online content.
You must not use the Platform in any country, territory, or manner prohibited by applicable sanctions, export-control laws, trade restrictions, or platform policies.
30. Electronic Communications and Records
You agree that SparkFlow may communicate with you electronically, including by email, dashboard notifications, invoices, platform messages, support messages, and website notices. You agree that electronic communications, notices, agreements, invoices, approvals, logs, records, and confirmations may satisfy legal communication and record requirements to the extent permitted by applicable law.
You are responsible for keeping your contact details current and for monitoring official communications sent by SparkFlow.
31. Force Majeure
SparkFlow shall not be liable for any delay, failure, disruption, or non-performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, epidemics, pandemics, government action, regulatory changes, power failures, telecommunications failures, internet outages, cyberattacks, cloud-provider outages, AI-provider outages, payment-provider outages, social-media platform outages, supply-chain failures, or failures of Third-Party Services.
32. Changes to These Terms
SparkFlow may update these Terms from time to time. Updated Terms will be posted on the Platform, website, dashboard, or otherwise made available to you. Unless a later date is stated, updated Terms become effective when posted or notified.
Your continued use of the Platform after updated Terms become effective constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Platform and cancel your Subscription in accordance with the cancellation process.
33. Assignment
You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without SparkFlow's prior written consent. SparkFlow may assign, transfer, subcontract, or delegate its rights and obligations under these Terms to an affiliate, successor, acquirer, purchaser, service provider, restructuring entity, or in connection with a merger, acquisition, sale of assets, financing, reorganization, or corporate transaction.
34. Severability, Waiver, and Interpretation
If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be interpreted or replaced to achieve its intended commercial purpose to the maximum extent permitted by law.
Failure by SparkFlow to enforce any provision of these Terms does not constitute a waiver of that provision or any other rights. Headings are for convenience only and do not affect interpretation. Words such as "including" mean "including without limitation".
35. Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or relating to them, the Platform, any Subscription, Customer Content, Generated Content, Final Content, or related services, shall be governed by and interpreted in accordance with the laws of the Kingdom of Bahrain, without regard to conflict-of-law rules.
Subject to any mandatory consumer protection rights that cannot be waived, the courts of the Kingdom of Bahrain shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.

Annex A - Additional Platform Rules
SparkFlow may publish additional platform rules, product descriptions, plan limits, acceptable-use guidance, privacy notices, data-processing terms, security guidance, API terms, integration terms, or product-specific rules. Those rules form part of these Terms where referenced, linked, or otherwise made available in connection with the relevant feature or Subscription.
In the event of inconsistency, the following order of priority applies unless expressly stated otherwise: (1) signed written agreement, (2) data processing agreement if applicable to personal data processing, (3) order form or invoice terms, (4) product-specific terms, (5) these Terms, (6) website or plan-description summaries.
Annex B - Recommended Documents to Publish Alongside These Terms
- Privacy Policy: required to explain personal data collection, usage, retention, sharing, cross-border transfers, rights, and contact routes.
- Data Processing Addendum: recommended for B2B clients who upload personal data or connect social accounts.
- Acceptable Use Policy: useful if SparkFlow later exposes public APIs, bulk generation, reseller access, or enterprise workspaces.
